They can adopt them but the SEC has a long arm so you would probably need to make some effort to block folks located in the US from participating.
Is this also one of the reasons why Swarmcorp has not been incorporated which gives you room to manoeuvre (DAC style) to other friendlier jurisdictions?
Yes. It's a bit like Xapo that has their corporate headquarters in Palo Alto but their legal entity in Hong Kong.
