As per what we previously updated, there are few more team members we believe will add great value to the project are in progress of on boarding. Once this is completed, all information including names, photo and linkedin profiles etc will be updated.

We have taken the feedback on the fund raised progress bar despite it is a work in progress website. The team has updated it based on the angel investors and institutional investors invested/committed fund. And that is why we don't really kick start our IEO immediately as we have some more Fiat institutional investors are in on-boarding process or in discussion.

We believe our IEO will be different from what other IEO has been launched so far, because our business is a transitional bridge between traditional stock brokerage which deals with Fiat, as well as modern digital assets which deal with BTC/ETH etc digital currencies. We will raise Fiat fund in private placement from Angel investors/Institutional investors/Government grants, and raise BTC/ETH via public IEO subsequently.

The entire project is update progressively in term of technology implementation and business strategy execution. As this might be a first of its kind in the industry which have both Fiat & digital assets in this setup. We are planning and executing the strategy very carefully to manage the potential project risks.

Our founders did raise some Fiat fund from Angel investors, institutional investors plus some government FinTech grants at pre-IEO stage. These funds will be mainly used in setting up the technology development architecture, KYC/AML automation and integration, bank custodian and digital bank integration, as well as testing the live & historical market data feeds from Singapore Exchange/Nasdaq/NYSE/HKEX etc.

Fortunately that a few of our founders are developers who are willing to contribute in exchange for the EST tokens.

We are still trying to get a few more people on board before we release our final team structure.

We have been holding some BTC/ETH since the few years ago, however, majority of our assets are remaining in traditional stock and equity as we are from the stock brokerage background.

Eventhough we believe Ethereum should be a great alternative to replace the traditional capital market. However, we have been seeing a lot of Alt coin is offered in the past few years and yet quite a large number of them are scam in nature or highly in doubt. A lot of my peers have lost part of their investment in those alt coins. This is the reason that prevent us from investing larger portion of our assets into ETH.

As compare to the traditional global equity market, digital assets market are remain extremely small in value. Are there a highly viable solution to convert those traditional capital market investors to hold more digital assets in their portfolio?

Lets assume a team has a stock brokerage company registered in Jurisdiction outside of USA, e.g. Singapore or Australia.

1. If this stock brokerage want to add cryto exchange to their business, and offer crytocurrency trading account opening and deposit of crytocurrencies to USA Citizens. Is it a "must" to register the company with SEC?

2. What if this stock brokerage works with P2P crytocurrency merchants to allow clients to convert the crytocurrency into USDT, and use USDT to purchase stocks via custodian account? What will be the relevant legal concerns in this case?

The use case of my research is a bit complex as below:

A team of developers
1. To build a hybrid platform of traditional stock brokerage [e.g. To trade stocks listed in Singapore Stock Exchange, ETF etc ] + Cryto Exchange [e.g. To trade BTC, ETH etc]
2. The platform obtained license to operate as stock brokers from Singapore Monetary Authority [ similar to SEC in USA]
3. To launch ICO of utility tokens which can be used to offset stock brokerage charges and Cryto Exchange trading fees
4. The ICO tokens are offered as a early bird discount crowd selling of utility tokens
5. The operator of the platform will lower the stock brokerage charges and cryto trading fees based on previous quarter trading volumes and net profit [ i.e. use lesser utility token to offset the same stock brokerage charges and cryto trading fees], it is to reward the loyalty of the customers.
6. The utility tokens is tradeable only on the platform and the price is subject to the demand and supply only.
7. When the demand of the tokens are low, the operator of the platform might choose to buy back portion of the tokens in the open market
8. P2P merchants on the platform offers conversion of BTC/ETH etc to USDT [vice versa] and users can use the USDT to purchase Stock/ETC etc on the platform

Base on the Howey Test:
a. It is a stock brokerage early bird servicing offer, it is not an investment of money
b. It is a common enterprise
c. Expectation of profit is based on the demand and supply of the utility tokens

Even though it doesn't pass the Howey test as per above. I wonder if the above facts might give concerns to MAS/SEC that this tokens might be considered as security tokens. Anyone can offer their comments or thoughts on this?
